Client Portal Terms of Use.
1Acceptance of These Terms
These Terms of Use (“Terms”) govern your use of the Frankly Financial client portal and related online tools (the “Portal”) provided by Frankly Financial Ltd. (“Frankly,” “we,” “us”). By accessing or using the Portal you agree to these Terms and to our Data Handling, Confidentiality & Use of Technology Policy, which is incorporated by reference. If you use the Portal on behalf of a business, you confirm you have authority to bind that business. If these Terms conflict with a signed engagement agreement, the engagement agreement governs.
2Who May Use the Portal
The Portal is for clients of Frankly and the people they authorize (for example, a bookkeeper, controller, or business partner), each of whom must be at least 18 years old. You are responsible for keeping your login credentials confidential, for all activity under your account, and for ensuring the information you provide through the Portal is accurate and complete.
3What the Portal Is For
The Portal exists to deliver your engagement with Frankly: sharing records and documents, connecting accounting platforms, reviewing financial reports, and communicating with our team. You may use it only for these purposes, in connection with your own engagement.
4Connected Accounting Platforms
The Portal can connect to third-party accounting platforms, including QuickBooks Online through Intuit’s authorized connection. By connecting an account you authorize Frankly to access the data described in our Data Handling Policy, solely to deliver the Services. You may disconnect a connected platform at any time as described in that Policy; disconnection stops our access immediately.
5Acceptable Use
You agree not to: (a) use the Portal for any unlawful purpose; (b) attempt to access data or accounts that are not yours; (c) interfere with or disrupt the Portal, or probe, scan, or test its security; (d) copy, scrape, reverse engineer, or create derivative works of the Portal; (e) upload malicious code or content you do not have the right to share; or (f) use the Portal to infringe anyone’s rights.
6Your Content
You retain ownership of the records and documents you provide through the Portal. You grant Frankly the right to use them to deliver the Services, and you are responsible for their accuracy and for having the right to share them. The Portal itself — its software, design, and content other than yours — belongs to Frankly or its licensors.
7Availability and Disclaimer
The Portal is provided on an “as is” and “as available” basis. We work to keep it available and secure, but we do not guarantee uninterrupted or error-free operation, and we may modify, suspend, or retire features with reasonable notice where practical. The Portal is a delivery tool: information presented in it is not, by itself, financial, tax, or legal advice. Professional services and deliverables are governed by your engagement agreement.
8Limitation of Liability
To the maximum extent permitted by law, Frankly is not liable for how you or your authorized users use the Portal, for decisions made in reliance on information accessed through it outside the scope of your engagement, or for indirect, incidental, special, or consequential damages arising from use of the Portal. Our total liability in connection with the Portal is limited to the fees you paid for the Services in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
9Suspension and Termination
We may suspend or end your access to the Portal if these Terms are breached, if required for security or legal reasons, or when your engagement ends. You may stop using the Portal at any time. Sections of these Terms that by their nature should survive — including Your Content, Limitation of Liability, and Governing Law — survive termination. Retention and deletion of your information is governed by our Data Handling Policy.
10Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision, and material changes will be communicated to active clients. Continued use of the Portal after changes take effect means you accept the updated Terms.
11Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Disputes are subject to the exclusive jurisdiction of the courts of Ontario.
